By accessing or using NoteMate ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.
We reserve the right to modify these Terms at any time. Your continued use of the Service after any changes constitutes acceptance of the modified Terms.
2. Service Description
NoteMate is an AI-powered audio transcription and summarization service that allows you to:
- Upload or record audio files
- Generate transcripts from audio using AI technology
- Create summaries and extract action items in various formats
- Organize and manage your meeting notes
2.1 Subscription Plans
We offer the following subscription plans:
- Free: Limited monthly minutes and recording length
- Starter: Increased limits for regular users
- Premium: Higher limits and additional features
- Professional: Maximum limits and priority processing
Plan features, limits, and pricing are subject to change. Current plan details are available on our pricing page.
2.2 Usage Limits
Each subscription plan has specific limits:
- Monthly transcription minutes
- Maximum recording length per file
- File size restrictions (maximum 500MB per audio file)
Exceeding your plan limits may result in service restrictions until your usage resets or you upgrade your plan.
3. User Responsibilities
3.1 Account Information
You are responsible for:
- Providing accurate and complete account information
- Maintaining the security of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
3.2 Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:
- Upload, transmit, or process any content that is illegal, harmful, threatening, abusive, or violates any laws
- Upload content that infringes on intellectual property rights, privacy rights, or other rights of others
- Upload malicious software, viruses, or code
- Attempt to gain unauthorized access to the Service or other users' accounts
- Interfere with or disrupt the Service or servers
- Use the Service to violate any applicable laws or regulations
- Use automated systems to access the Service without permission
- Share your account credentials with others
- Resell or redistribute the Service without authorization
3.3 Content Responsibility
You are solely responsible for the content you upload and process through the Service. You represent and warrant that:
- You have the right to upload and process the content
- The content does not violate any laws or third-party rights
- You have obtained necessary permissions for any third-party content
4. Subscription Terms
4.1 Plan Features
Subscription plans include specific features and limits as described on our pricing page. Features and limits may vary by plan tier.
4.2 Billing and Payment
If applicable to your plan:
- Subscription fees are billed in advance on a monthly basis
- All fees are non-refundable except as required by law
- You are responsible for all applicable taxes
- We reserve the right to change pricing with 30 days' notice
4.3 Cancellation
You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will continue to have access to paid features until the end of your billing period.
4.4 Usage Limits and Overages
If you exceed your plan's monthly limits:
- You may be unable to process additional audio until your usage resets
- You may upgrade your plan to access higher limits
- Usage resets at the beginning of each billing cycle
5. Intellectual Property
5.1 Your Content
You retain all ownership rights to the audio files, transcripts, summaries, and other content you create using the Service. By using the Service, you grant us a limited license to:
- Process and store your content to provide the Service
- Transmit your content to third-party AI services (OpenAI, AssemblyAI) for processing
- Store your content in our systems
5.2 Service and Platform
The Service, including all software, technology, designs, and content (excluding your user content), is owned by NoteMate and protected by intellectual property laws. You may not:
- Copy, modify, or create derivative works of the Service
- Reverse engineer or attempt to extract source code
- Remove or alter any copyright or proprietary notices
5.3 AI-Generated Content
Transcripts and summaries generated by AI services are based on your input. You own the output, but acknowledge that:
- AI-generated content may not be 100% accurate
- Similar inputs may produce similar outputs
- We do not claim ownership of AI-generated content
6. Limitations of Liability
6.1 Service Availability
We strive to provide reliable service but do not guarantee:
- Uninterrupted or error-free service
- That the Service will be available at all times
- That errors will be corrected immediately
We are not liable for any downtime, service interruptions, or technical issues.
6.2 Transcription Accuracy
While we use advanced AI technology, we do not guarantee:
- 100% accuracy of transcriptions
- Perfect summarization quality
- Correct identification of speakers or action items
You are responsible for reviewing and verifying the accuracy of transcripts and summaries.
6.3 Data Loss
We implement backup and security measures, but we are not liable for:
- Loss or corruption of your data
- Unauthorized access to your account
- Data loss due to technical failures
You are responsible for maintaining backups of important content.
6.4 Third-Party Services
Our Service depends on third-party AI providers (OpenAI, AssemblyAI). We are not liable for:
- Failures or errors of third-party services
- Changes to third-party service terms or pricing
- Data handling by third-party services
6.5 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTEMATE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
7. Termination
7.1 Termination by You
You may terminate your account at any time by:
- Deleting your account through account settings
- Contacting us to request account deletion
Upon termination, your access to the Service will cease immediately.
7.2 Termination by Us
We may suspend or terminate your account if:
- You violate these Terms of Service
- You engage in fraudulent or illegal activity
- You fail to pay applicable fees (if any)
- We discontinue the Service
7.3 Data Retention After Termination
After account termination:
- Your account data will be deleted within 30 days
- You may request immediate deletion by contacting us
- Some data may be retained longer if required by law
- Backup copies may exist for a limited time
8. Indemnification
You agree to indemnify and hold harmless NoteMate, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Content you upload or process through the Service
9. Dispute Resolution
9.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of United Kingdom, without regard to its conflict of law provisions.
9.2 Jurisdiction
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in United Kingdom.
9.3 Informal Resolution
Before filing a formal legal claim, you agree to contact us at support@note-mate.app to attempt to resolve the dispute informally.
10. General Provisions
10.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and NoteMate regarding the Service.
10.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
10.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
10.4 Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
10.5 Changes to Terms
We reserve the right to modify these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance.
